Any proposal, estimate, or recommendation provided by Ferris Films is subject to change until confirmed in writing. Project bookings may require a signed agreement, deposit, retainer, or written approval.

4. Payments, Deposits, and Fees

Payment terms will be outlined in the applicable proposal, invoice, agreement, or written communication.

Unless otherwise stated in writing:

Deposits, retainers, or booking fees may be required to reserve project dates or begin work

Payments are due according to the timeline provided on the invoice or agreement

Late payments may delay project timelines, delivery, launch dates, or ongoing service work

Ferris Films may pause work if payments are overdue

Client is responsible for approved third-party costs, advertising spend, software fees, hosting fees, travel costs, location fees, permits, talent fees, or other project-related expenses when applicable

5. Cancellations, Rescheduling, and Refunds

Cancellation, rescheduling, and refund terms may vary depending on the type of service and will be outlined in the applicable agreement or invoice.

Unless otherwise stated in writing:

Deposits, retainers, and booking fees are non-refundable

Rescheduling is subject to availability

Project delays caused by the client may affect timelines and delivery dates

If a project is canceled after work has begun, the client may be responsible for work completed, expenses incurred, and any non-refundable costs

For wedding, event, or production services, date reservations may be limited and may require specific cancellation and rescheduling terms in a separate agreement.

6. Client Responsibilities

To complete projects effectively, clients may be responsible for providing timely access to information, assets, approvals, locations, accounts, logins, brand materials, feedback, and other required resources.

Delays in client communication, approvals, or asset delivery may delay project timelines. Ferris Films is not responsible for missed deadlines caused by incomplete information, delayed feedback, third-party delays, or lack of required access.

7. Revisions and Approvals

Revision terms will be outlined in the applicable proposal or agreement. If no specific revision terms are stated, revisions may be limited and subject to Ferris Films’ discretion.

Additional revisions, major creative changes, expanded scope, or requests outside the original agreement may require additional fees.

Once a deliverable is approved, changes requested afterward may be billed separately.

8. Ownership and Usage Rights

Ownership and usage rights may vary depending on the service and will be described in the applicable agreement.

Unless otherwise stated in writing:

Ferris Films retains ownership of raw footage, raw photos, project files, working files, concepts, templates, editing files, source files, and creative processes

Clients receive usage rights to final approved deliverables after full payment is received

Clients may not resell, alter, sublicense, or redistribute deliverables beyond the agreed scope without written permission

Ferris Films may use completed work, behind-the-scenes content, project results, testimonials, and client/public-facing materials for portfolio, marketing, social media, website, case study, and promotional purposes, unless otherwise agreed in writing

For website, marketing, advertising, and brand strategy work, rights to third-party tools, fonts, stock assets, plugins, software, or licensed materials may be subject to those providers’ own license terms.

9. Raw Files and Project Files

Raw footage, raw photos, editable design files, project files, ad account structures, strategy documents, website files, and other working materials are not included unless expressly stated in writing.

If raw files or source files are requested, they may be subject to additional fees, license limitations, storage availability, or separate written approval.

10. Marketing, Advertising, and Business Results

Ferris Films may provide marketing, advertising, SEO, website, and business growth services. While we aim to improve visibility, lead generation, creative quality, conversion performance, and overall marketing effectiveness, we do not guarantee specific results.

Client understands that results may vary based on factors outside Ferris Films’ control, including but not limited to market conditions, competition, advertising budgets, platform algorithms, website traffic, client offer, sales process, pricing, reputation, reviews, seasonality, and third-party platform changes.

Ferris Films is not responsible for changes made by Google, Meta, search engines, advertising platforms, social media platforms, hosting providers, or other third-party services.

11. Third-Party Platforms and Services

Our services may involve third-party platforms, including but not limited to website builders, hosting providers, analytics tools, payment processors, scheduling tools, CRM systems, email platforms, Google, Meta, YouTube, Instagram, TikTok, LinkedIn, and other software or advertising platforms.

Ferris Films is not responsible for outages, policy changes, account restrictions, data loss, billing issues, algorithm changes, or service interruptions caused by third-party platforms.

Client is responsible for maintaining access, ownership, payment, and compliance for their own third-party accounts unless otherwise agreed in writing.

12. Website Content and Intellectual Property

All content on the Ferris Films website, including text, images, videos, graphics, branding, logos, layouts, service descriptions, and creative materials, is owned by or licensed to Ferris Films unless otherwise noted.

You may not copy, reproduce, modify, distribute, display, or use our website content for commercial purposes without written permission.

13. Testimonials, Portfolio, and Case Studies

By providing testimonials, reviews, feedback, or public-facing project results, you grant Ferris Films permission to use them for marketing, portfolio, sales, social media, and promotional purposes, unless otherwise agreed in writing.

Ferris Films may display completed client work in its portfolio unless confidentiality or usage restrictions are agreed upon in writing.

14. Confidentiality

Ferris Films will make reasonable efforts to protect confidential client information shared during a project. However, confidential information must be clearly identified as confidential.

This does not apply to information that is public, independently developed, already known, lawfully received from another source, or required to be disclosed by law.

15. Limitation of Liability

To the fullest extent permitted by law, Ferris Films will not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost business opportunities, loss of data, or reputational harm.

Ferris Films’ total liability for any claim related to the website or services will not exceed the amount paid by the client to Ferris Films for the specific service giving rise to the claim.

16. Disclaimer

Our website and services are provided on an “as available” basis. We make reasonable efforts to provide accurate information and quality services, but we do not guarantee that the website will be error-free, uninterrupted, or free of harmful components.
